Terms and Conditions of the Space Service Agreement for Use of the SWF Center
1. We are SWF Group LTD., hereafter referred to as "SWF". These are the terms of our Space Service Agreement. They apply to the Space Service Agreement that you, the client, have signed (hereafter referred to as "your Agreement"). Your Agreement replaces any previous contracts with us for the same services and includes all terms agreed upon between us.
Standard Services Included in the Standard Fee
2. Storage Space Facilities
We are set to provide the quantity of storage space that you, the client, agreed to pay for in the contract. Not all of this space will be available for storing goods; it may also need to be allocated for workspaces and passageways. The space for storage may be equated as 3 square meters per one pallet (120cm x 80cm x height 130cm). The specific sections assigned to you are allocated depending on the availability of space on a daily basis. Occasionally, we may need to assign a different storage facility, but they will be of equivalent size, and we will notify you when we provide such different storage space facilities.
3. Office Services
We provide services such as receiving goods, inspecting goods, inventory services, picking services, packing services, labeling services, and other services as needed, during normal business hours (usually Monday through Friday), upon request from you, the client. We may consider special arrangements for using these services outside normal business hours. All services are subject to the availability of our center team at the time of service request. We strive to respond to service requests as quickly as possible but do not accept responsibility for delays. If we determine, at our discretion, that a request for certain business services is excessive, we reserve the right to charge additional fees based on our standard public rates.
4. Using SWF Internet Connection Services
You must comply with any copyright notices, license terms, or other notices displayed on the screen or as part of the material as part of the Internet or our network. You may not replicate, use, or utilize such software or other materials in any way, except when we explicitly grant permission. You must strictly abide by the terms of the permission we grant. We do not make any representations about the security of our network (or the Internet) or the information you place on it. You should adopt security measures (such as encryption) that you deem appropriate for your situation. We cannot guarantee that certain levels of availability will be achieved when you use our services. You guarantee us that providing these services to you does not infringe on the rights of third parties.
Use of Storage Space Facilities
5. At the Time of Moving
You will be asked to sign an inventory of all storage space facilities, furniture, and equipment that you are permitted to use, noting their condition and the details of the keys or entry cards issued to you.
6. The Nature of Your Business
You must use the storage space facility only for the purpose of storing goods and for the business listed in your Agreement or subsequently agreed upon with us. You may not use the name of SWF or any of its affiliates in any way in connection with your business, except when listed as an address for shipping goods.
7. Your Name and Address
You may only conduct your business under your name or another name that we have previously agreed to. Upon your request and at your expense, we will list that name in the SWF Service Center directory. You may not post signs on doors or other places visible from outside the storage space facility you are using. You may only use the address of the SWF Service Center for the purpose of shipping and receiving your goods.
8. Care for Our Property
You must take good care of all parts of the
SWF Service Center and all the equipment, facilities, and furniture that you use. You may not modify any part of it. You are responsible for any damage caused by you or anyone in the SWF Service Center by your permission or invitation.
9. Office Furniture and Facilities
You may not install furniture, office equipment, cables, IT, or telecom connections without our consent. We may refuse this at our absolute discretion.
10. Keys and Security
The keys and entry cards we allow you to use are our property at all times. You may not make copies of them or allow others to use them without our permission. Any losses must be immediately reported to us and you must pay for the cost of replacing keys or cards if necessary. If you have permission to use the SWF Service Center outside of normal business hours, you are responsible for locking your storage space facilities and the SWF Service Center doors when you leave.
11. Compliance with the Law
You must comply with all appropriate laws and regulations related to the operation of your business. You must not do anything illegal. You must not do anything that hinders or causes annoyance or trouble to us or others using the SWF Service Center, increases the insurance premiums we need to pay, or causes loss or damage to those who own the profits of the building including the SWF Service Center. You acknowledge that (a) the conditions of the preceding sentence are a significant incentive for us to perform your contract, and (b) violation of the preceding sentence by you constitutes a serious breach, giving us the right to terminate your contract.
12. Compliance with House Rules
You must comply with the house rules that we apply to all users of the SWF Service Center, regardless of reasons related to health, safety, fire prevention, etc.
13. Insurance
You are responsible for arranging insurance for your own property that you bring into the SWF Service Center and for your own liability to your employees and third parties.
Provision of Services
14. Access to Storage Space Facilities
We can enter your storage space facilities at any time. However, unless it's an emergency, we will give you prior notice when access is required to perform requested consignment work, load in or out goods, tests, repairs, or other work besides routine inspection, cleaning, and maintenance. We also respect security procedures for protecting the confidentiality of your business.
15. At the Start of the Contract
If for some reason we can't provide the storage space facilities listed in the contract by the day the contract starts, we are not responsible for any loss or damage to you, but you can cancel the contract without a penalty. We will not charge the usual fee for the storage space facilities that are not available until they become available.
16. Interruption of Service
We may stop the provision of services (including access to the SWF Service Center) by notice due to political unrest, strikes, or other events that we cannot reasonably control. In that case, payment of the standard fee is also suspended for the same period.
17. Our Liability
We are not responsible for any loss due to our inability to provide services due to machinery failure, strikes, delays, team failures, termination of our interest in the building including the SWF Service Center, or other reasons, except where we did it deliberately or were greatly negligent. Furthermore, we are not responsible for any of your failures until you notify us in writing and give us a reasonable time to fix it. In addition, you indemnify SWF from any liability related to your mail. You agree that (a) we are not liable for any loss, damage, or claims arising out of or related to your contract and/or use of services, (b) our liability is limited as provided in the next paragraph. In no case are we responsible for business losses, profit losses, anticipated savings losses, data loss or damage, claims from third parties, or any indirect losses. We strongly recommend that you insure against such potential losses, damages, costs, or liabilities. We are liable up to the following:
• For damage to your personal property, up to 10,000 EUR (per event or series of related events);
• For all other losses, damages,
costs, or claims, up to 125% of the total amount paid under the contract or 5,000 EUR (whichever is higher) up to the date the claim in question arises.
Customer's Contract
18. Nature of Your Agreement
Your agreement is a commercial equivalent of a hotel accommodation contract. The entire SWF Service Center is our property and is under our ownership and control. You acknowledge that your agreement does not create any tenant's advantage, leasehold estate, or other real estate benefits in favor of you with respect to the storage space facilities. We only grant you the right to share the use of the SWF Service Center and enable us to provide services to you. The agreement is personal to you and cannot be transferred to anyone else. We can transfer your agreement and our obligations and benefits based on it at any time.
19. Contract Period
Your contract continues for the period stated in the contract and then automatically extends for an equivalent current period (however, at least 3 months or more) until terminated by either you or us. All periods continue until the last day of the month they would end. The fee at the time of renewal will be the price listed on the surface of the service contract plus 7%. In all other respects, the contract is renewed on the same terms.
20. Termination of Contract
Either we or you can terminate the contract by giving written notice to the other party at least 3 months before the contract end date or at the end of any extension or renewal period. However, if your contract, extension, or renewal is for 3 months or less, and either we or you wish to terminate it, the notice period will be 2 months or 1 week shorter than the period stated in your contract, extension, or renewal.
21. Immediate Termination of Contract
In the following cases, we can notify you and terminate the contract immediately:
• If you are economically bankrupt, go into liquidation, or become unable to pay your debts
• If you violate obligations that you cannot improve, or if we notify you to improve and you do not improve within 14 days from the notice
• If your actions, or the actions of someone who comes to the SWF Service Center with your permission or invitation, are not normal space usage
Even if the contract is terminated for any of these reasons, obligations that are unresolved at that time do not end, and you need to do the following:
• Pay the fee for the additional services you have used
• Pay the standard fee for the remaining period if the contract had not ended, or for 3 months or more
• Compensate for all costs and losses we incurred due to the termination
22. If the SWF Service Center is not Available
In the very rare event that we are unable to provide services and storage space at the SWF Service Center, your contract will end, and you only need to pay the standard fee until the day it ends and the fee for the additional services you have used. We will try to find suitable alternative storage space facilities for you at another SWF Service Center.
23. Procedure at the Time the Contract Ends
• When you vacate or if you choose to move to another storage space facility within the SWF Service Center, a certain fee (15 EUR per pallet) will be charged. This covers the routine costs of painting and decorating to restore the storage space facilities to their original state, as well as the general maintenance costs of the common areas of the SWF Service Center you were using. We reserve the right to charge additional reasonable fees for repairs beyond wear and tear due to normal use. If you leave your property at the SWF Service Center, we can dispose of it in any way we want and do not need to return anything to you for that responsibility or the proceeds of the sale.
• You are liable for any losses, claims, or liabilities we incur due to your not vacating on time.
• We may, at
our discretion, allow an extension period with an additional fee to the standard fee.
24. Employees
While your agreement is in effect, and for 6 months after it ends, you cannot offer or propose employment to our current employees or those who have ended their employment with us within the last 3 months. If you do, we will presume our loss to be equivalent to the salary of the relevant employee for one year, and you must pay us compensation of that amount.
25. Notice
All official notices must be in writing. You are responsible for keeping the latest address on the records of the SWF Service Center.
26. Confidentiality
The terms of your agreement are confidential. Neither of us can disclose it without the consent of the other, except when required by law or public authority. This obligation continues after your agreement ends.
27. Indemnity
You must indemnify us for all liabilities, claims, damages, losses, costs (except those due to our serious negligence or deliberate misconduct).
• If someone dies or is injured in the storage space facilities you are using
• If you violate the terms of the contract In addition, you are responsible for paying all costs and expenses we incur to enforce the contract (including attorney's fees).
